Welcome to The Content Vault. By accessing or using our service at thecontentvault.co, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our service.

1. Acceptance of Terms

By creating an account and using The Content Vault, you agree to comply with and be legally bound by these Terms, whether or not you become a registered user. These Terms govern your access to and use of the services, software, and websites provided by The Content Vault.

2. Description of Service

The Content Vault is a cloud-based content storage and sharing platform designed for content creators to store, organize, and share their files with brands and collaborators.

3. Account Registration

You must sign up using a valid Google account
You must be at least 13 years of age to use this service
You are responsible for maintaining the security of your account
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account

4. Subscription Plans

Free Plan

50 files maximum
3 active shares maximum
2GB total storage
2GB per-file size limit

Pro Plan ($9.99/month)

Unlimited files
Unlimited shares
25GB total storage
5GB per-file size limit
Advanced analytics
Custom branding
Custom email templates

Payment Terms

Subscriptions are billed monthly in advance
All payments are processed securely through Stripe
You authorize us to charge your payment method on a recurring basis
Prices are subject to change with 30 days notice

5. Cancellation and Refunds

You may cancel your Pro subscription at any time through your Stripe customer portal
Cancellations take effect at the end of the current billing period
No refunds are provided for partial months
Upon cancellation, your account will revert to the Free plan
If you exceed Free plan limits, you may need to delete content or re-subscribe

6. Acceptable Use Policy

You agree NOT to use The Content Vault to:

Upload, store, or share illegal, harmful, or offensive content
Violate any intellectual property rights
Distribute malware, viruses, or malicious code
Harass, abuse, or harm others
Spam or send unsolicited communications
Attempt to gain unauthorized access to our systems
Use automated systems to access the service without permission
Resell or redistribute the service

7. Content Ownership and Licensing

Your Content: You retain all ownership rights to the content you upload
License to Us: By uploading content, you grant us a license to store, process, and display your content solely for the purpose of providing the service
Sharing: When you create a share link, you are responsible for controlling access and ensuring recipients are authorized to view your content
Responsibility: You are solely responsible for your content and any consequences of sharing it

8. Content Monitoring and Removal

While we do not actively monitor user content, we reserve the right to:

Review content if we receive complaints or notice violations
Remove content that violates these Terms
Suspend or terminate accounts that repeatedly violate these Terms
Report illegal content to law enforcement

9. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access
We may perform maintenance that temporarily affects service availability
We are not liable for any damages resulting from service interruptions

10. Data Backup and Loss

While we implement backup procedures, you are responsible for maintaining your own backups of important content
We are not liable for any loss of data or content
We recommend keeping local copies of critical files

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

Breach of these Terms
Fraudulent or illegal activity
Extended inactivity (180+ days)
Request from law enforcement

Upon termination, your right to use the service will cease immediately. Your content may be deleted after account termination.

12. Intellectual Property

The Content Vault name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of The Content Vault or its affiliates. You may not use these marks without our prior written permission.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CONTENT VAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify and hold harmless The Content Vault from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the service
Your content
Your violation of these Terms
Your violation of any rights of another party

16. Dispute Resolution and Arbitration

Any dispute arising from these Terms or your use of the service will be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

You agree to waive your right to a jury trial and to participate in class action lawsuits.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or service notification. Your continued use of the service after changes constitutes acceptance of the modified Terms.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms constitute the entire agreement between you and The Content Vault regarding the service and supersede any prior agreements.
